CMA considers competition implications of major FM merger

The UK Competition and Markets Authority has confirmed it is reviewing a planned merger between two major facilities management companies, assessing whether the combination would reduce competition, raise prices or limit customer choice in contracts that span cleaning, security, catering and technical services. While the CMA has not yet published detailed findings, the review reflects growing consolidation in the FM sector and concern that a smaller pool of national providers could weaken bargaining power for clients, particularly public bodies and large corporates that rely on competitive tendering to control costs. The outcome will influence not only contract pricing but also service standards, innovation and the competitive position of mid-tier and regional FM businesses.

For companies that supply services to facilities managers—including fleet leasing, fuel cards, telematics and vehicle maintenance—consolidation can be a double-edged sword. Larger FM groups offer volume and long-term contracts but also drive harder on price and impose standardised supplier panels that squeeze out regional players. Service businesses whose fleets depend on winning FM subcontracts need to understand how the merged entity will procure vehicles, manage mobility and measure carbon, and whether existing supplier relationships will survive the integration. There's also a risk that contract novation, system migrations and internal restructuring create delays, payment friction and uncertainty during the transition period.

If the CMA clears the merger with or without remedies, expect accelerated consolidation elsewhere in the sector as rivals seek scale to compete. Fleet managers should review their exposure to any single FM client or contract, stress-test what happens if terms are renegotiated or volumes shift, and consider whether diversifying the customer base or moving up the value chain makes sense. For those selling to FM companies, now is the time to demonstrate clear ROI, digital integration and sustainability credentials, since procurement teams in large groups prioritise suppliers who can operate nationally, report consistently and support their own net-zero commitments.

Bluepoppy's clients include service businesses that work both independently and as subcontractors to larger FM providers, and we understand the commercial pressures that come with either model. If consolidation in your customer base is making you rethink fleet size, contract length or the balance between owned, leased and hired vehicles, a Fleet Cost Review will give you the data to plan confidently. Let's talk through your options before the next contract negotiation or novation notice arrives.

Bluepoppy view: FM consolidation can squeeze suppliers and shift risk—fleet strategies need enough flexibility and diversification to ride out client mergers and contract churn.
